📜 TradePesa – Terms and Conditions

Welcome to TradePesa — Kenya's platform for tokenized trading, community-driven value, and optional blockchain features. These Terms and Conditions ("Terms") govern your access to and use of TradePesa's website, app, and all related services.
By using our platform, you agree to be legally bound by these Terms. If you do not agree, please do not use TradePesa.
1. Introduction
TradePesa is a digital platform that allows users to:
- Create and trade tokenized digital items, in both a free Practice Mode and a Live mode involving real money
- Deposit and withdraw real Kenyan Shillings (KES) via M-Pesa, converted to and from TradePesa's internal currency, K$Coin
- Participate in a community-powered marketplace using K$Coin
- Simulate trading through Practice Mode (Demo Account) at no cost and no risk
- Optionally pay a fee to mint an existing Live token as a real, permanent asset on the Solana public blockchain
- Participate in optional platform features including HODL (a price-prediction game), Challenges, and a referral program
2. Eligibility
You may use TradePesa if:
- You are 18 years of age or older
- You have the legal capacity to enter into binding agreements
- You are not barred from using online financial or trading-adjacent services under any applicable law in your jurisdiction
We may restrict or suspend access for users who violate these requirements, and may require identity or M-Pesa verification before allowing real-money deposits, withdrawals, or blockchain-related payments.
3. Account Creation
To use TradePesa services, you must register an account. You agree to:
- Provide accurate and complete information
- Keep your password and login secure
- Take full responsibility for all activity under your account
You may delete your account at any time by contacting support, subject to the resolution of any pending real-money withdrawals or transactions.
4. Platform Currency (K$Coin) & Real Money via M-Pesa
TradePesa uses a proprietary digital token, K$Coin, as its internal means of exchange in both Practice and Live modes.
- K$Coin is not legal tender, is not a currency issued or backed by the Central Bank of Kenya, and has no value outside TradePesa
- In Practice Mode, K$Coin is entirely virtual, holds no cash value, and cannot be deposited, withdrawn, or converted to real money
- In Live Mode, you may deposit real KES via M-Pesa, which is credited to your account as K$Coin at TradePesa's prevailing rate, and you may request withdrawal of your K$Coin balance back to KES via M-Pesa, subject to any applicable fees, minimums, and verification checks in place at the time
- TradePesa is not a bank, deposit-taking institution, currency exchange, or licensed financial services provider. Funds held as K$Coin are not insured or protected by any deposit guarantee scheme
- TradePesa reserves the right to adjust conversion rates, fees, withdrawal limits, or K$Coin rules at any time, and to delay, decline, or reverse a transaction where fraud, error, or a compromised M-Pesa/account is suspected
5. Marketplace Activity & Price Formation
Users may create, list, buy, and sell tokenized items in both Practice and Live modes. You understand and agree that:
- Token prices on TradePesa are determined entirely by an internal trading algorithm reacting to buy/sell activity within TradePesa's own platform — they are not derived from, and have no connection to, any external stock exchange, cryptocurrency exchange, or regulated market
- Prices, charts, and market capitalization figures shown are illustrative of in-platform activity only and should not be relied upon as real-world asset valuations
- You are solely responsible for the legality, originality, and accuracy of your own token listings and descriptions
- TradePesa is not liable for disputes between users, or for losses arising from price movements, whether in Practice or Live mode
6. Practice Mode (Demo Account)
TradePesa includes a Practice Mode where users can simulate trading behavior using virtual K$Coin at no cost.
- This mode is 100% educational and entertainment-focused
- Trades in Practice Mode use virtual tokens with no cash value whatsoever
- Performance in this mode has no impact on real balances and cannot be withdrawn
You understand this feature is purely for learning and practice, not for earning real money.
7. Live Mode & Real-Money Trading Risk
TradePesa's Live mode allows real KES, deposited via M-Pesa, to be converted into K$Coin and used to buy and sell tokens created by users on the platform. By using Live mode, you acknowledge and accept that:
- You may lose some or all of the K$Coin (and therefore real money) you have deposited or hold
- TradePesa does not guarantee any profit, return, liquidity, or the ability to sell a token at any particular price or at all
- Tokens on TradePesa are created by other users, not TradePesa, and TradePesa does not vet, endorse, or guarantee the value, legitimacy, or future performance of any user-created token
- TradePesa is not providing investment advice, brokerage services, or a regulated trading venue, and nothing on the platform should be interpreted as a recommendation to buy, sell, or hold any token
- You participate in Live mode entirely at your own risk and discretion
8. Real Blockchain Token Listing (Solana)
TradePesa offers an optional, separate paid feature allowing creators of Live tokens to mint a copy of their token as a real SPL token on the Solana public blockchain. You understand and agree that:
- This is a distinct add-on from your token's normal trading on TradePesa, which continues unaffected either way
- The fee charged for this feature is separate from, and not refundable against, any K$Coin balance, deposit, or withdrawal
- The minted blockchain token is held in a wallet custodied by TradePesa, not a personal wallet belonging to you — you do not receive private keys or independent control over the on-chain asset
- Blockchain transactions are irreversible by their nature. Once a token is minted on-chain, TradePesa cannot undo, refund, or reverse that transaction
- Listing a token on Solana does not, by itself, create a trading market for it. No liquidity pool or exchange listing is created automatically, and the token may not be tradeable, sellable, or have any market value on Solana or any exchange
- If a mint request is paid for but fails to complete due to a technical or blockchain-network issue, TradePesa will investigate and, at its discretion, issue a refund or retry the mint
- Users interested in making a specific token tradeable on the Solana blockchain (e.g., via a liquidity pool) may contact TradePesa directly; any such arrangement is evaluated and agreed separately, case by case, and is not a standard or guaranteed feature
- Cryptocurrency and blockchain assets are volatile, may have no value, and are affected by regulatory developments outside TradePesa's control
9. HODL, Challenges & Referral Program
TradePesa may offer additional optional features from time to time, including but not limited to:
- HODL — a price-prediction feature where users stake K$Coin on the anticipated direction of a token's price over a short period. This is a game of skill and chance based on market movement within TradePesa's own platform; outcomes are not guaranteed, and staked K$Coin (including real-money-derived K$Coin in Live mode) may be lost. Use responsibly
- Challenges — time-limited competitions that may offer K$Coin or other rewards, subject to specific rules published at the time of each challenge
- Referral Program — rewards for inviting other users, subject to anti-abuse rules; TradePesa may withhold or reclaim referral rewards obtained through fraudulent, fake, or self-referral activity
TradePesa reserves the right to modify, suspend, or discontinue any of these features at any time.
10. AI Assistant
TradePesa provides an AI-powered chat assistant to help answer questions about the platform. Messages you send to the assistant may be processed by a third-party AI service provider to generate responses. Do not share sensitive personal information (passwords, full M-Pesa PINs, ID numbers) with the AI assistant. Responses from the assistant are for general guidance only and are not financial, legal, or tax advice.
11. Prohibited Uses
You agree not to:
- Misrepresent items, tokens, or your identity, or engage in fraudulent activity
- List content that is harmful, illegal, or infringes on intellectual property
- Attempt to hack, disrupt, reverse-engineer, or exploit the platform, including its trading, M-Pesa, or blockchain integrations
- Manipulate prices, wash-trade, or use bots or multiple accounts to gain an unfair advantage or abuse referral/reward systems
- Use TradePesa for money laundering, terrorism financing, or any other illegal financial activity
TradePesa reserves the right to suspend or terminate accounts, withhold funds under investigation, and report suspected illegal activity to the relevant authorities.
12. Ownership and Licensing
All content, branding, and technology on TradePesa is owned by us. You retain rights to items you upload, but grant us a license to display and promote them on the platform. You may not copy, sell, or reuse platform materials without written permission.
13. Platform Availability and Changes
TradePesa is provided "as is" and "as available." We do not guarantee continuous access or uptime, the accuracy of charts or price feeds, or the future availability of any specific feature. We reserve the right to modify, upgrade, or discontinue services (including Live mode, the Solana listing feature, HODL, Challenges, or referrals) at any time.
14. No Investment Advice
TradePesa does not provide investment or trading advice, brokerage or financial services, or guarantees of profit or earnings. Users participate in the marketplace, Live mode, and blockchain features at their own risk and judgment.
15. Limitation of Liability
To the maximum extent permitted by law, TradePesa will not be liable for loss of data, K$Coin, tokens, blockchain assets, or earnings; platform errors, downtime, or M-Pesa/blockchain network failures outside our control; or user disputes or third-party content. Your sole remedy for dissatisfaction with the platform is to stop using it.
16. Privacy and Data
We collect data necessary to power your experience, process M-Pesa transactions, and secure your account. Your data is never sold. Please review our Privacy Policy for full details.
17. Termination
We may suspend or permanently ban your account if you breach these Terms, act unlawfully or harm other users, or misuse platform tools, K$Coin, or the blockchain listing feature. Termination may result in loss of access to your account, and any pending withdrawal or blockchain requests may be reviewed before being processed.
18. Governing Law
These Terms are governed by the laws of Kenya. All disputes will be resolved in the courts of Kenya or through binding arbitration, where applicable.
19. Community Features (Profiles, Following & Posts)
TradePesa offers optional community features: public user profiles (visible to anyone, including logged-out visitors, at a URL based on your username), the ability to follow and be followed by other users, and the ability to submit community posts. You agree that:
- Your username, bio, and the tokens you've created may be shown publicly on your profile
- Community posts you submit may be automatically reviewed by an AI moderation system and, in some cases, a human moderator, before publication, and may be rejected if they violate these Terms or our community guidelines
- Once approved, a post is publicly visible and may be indexed by search engines; you remain solely responsible for its content and any legal consequences of it
- We may remove any community post or restrict your profile at our discretion for violations of these Terms
- We may send you in-app or browser push notifications (where permitted) about relevant activity, such as new tokens launched by creators you follow
20. Updates to Terms
We may revise these Terms periodically. If significant changes are made, we will notify users via email or platform message. Continued use of TradePesa means you accept the updated Terms.
